3. USER ACCOUNTS AND REGISTRATION

• Use our services to compete with us or develop competing products
• Violate intellectual property rights of Orbivue or third parties
• Harass, abuse, or harm other users or our personnel
• Use automated systems to access our services without permission

We reserve the right to investigate violations and take appropriate action, including suspension or termination of access.

5. INTELLECTUAL PROPERTY RIGHTS

All content, features, and functionality of our products and services, including but not limited to text, graphics, logos, software, algorithms, and AI models, are owned by Orbivue or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose. This license does not include any right to:

• Reproduce, distribute, or create derivative works
• Use our trademarks, logos, or branding without permission
• Access or use our proprietary algorithms or AI models
• Reverse engineer or attempt to extract our intellectual property

Any feedback, suggestions, or improvements you provide may be used by Orbivue without compensation or attribution.

6. USER CONTENT AND DATA

You retain ownership of any content, data, or information you provide to our services and/ or products (“User Content”). By providing User Content, you grant Orbivue a worldwide, non-exclusive, royalty-free license to use, process, and analyze such content for:

• Providing and improving our services
• Training and enhancing our AI models (in aggregated, anonymized form)
• Research and development purposes
• Compliance with legal obligations

You represent and warrant that:
• You own or have the right to provide all User Content
• Your User Content does not violate any laws or third-party rights
• You have obtained necessary consents for any personal data included

We may remove or refuse to process User Content that violates these Terms or applicable laws.

7. PAYMENT TERMS

For paid services, the following payment terms apply:

• Fees: All fees are stated in Indian Rupees (INR) unless otherwise specified
• Payment Methods: We accept wire transfers to our company account and other approved methods
• Billing: Enterprise services are typically billed annually or as per contract terms
• Late Payments: Late payments may result in service suspension and additional charges
• Refunds: Refunds are provided only as specified in individual service agreements
• Taxes: You are responsible for all applicable taxes, duties, and government fees
• Price Changes: We may change pricing with 30 days’ notice for ongoing services

All payments are non-refundable unless explicitly stated otherwise in your service agreement.

8. SERVICE AVAILABILITY AND MODIFICATIONS

We strive to provide reliable and continuous service, but we cannot guarantee uninterrupted availability. We reserve the right to:

• Modify, suspend, or discontinue any service with reasonable notice
• Perform maintenance and updates that may temporarily affect availability
• Implement usage limits or restrictions on free services
• Change features, functionality, or interfaces
• Terminate services that are no longer viable or supported

We will provide reasonable notice of significant changes or discontinuations, except in cases of emergency or security concerns.

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS OF INFORMATION
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OR FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

AI AND ML SERVICES DISCLAIMER:
• Our AI services &/ or products provide predictions and recommendations based on available data
• Results may not always be accurate or suitable for all situations
• Users should verify AI-generated information before making important decisions
• We do not guarantee specific outcomes or performance levels
• Agricultural advice should be supplemented with professional consultation

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBIVUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• BUSINESS INTERRUPTION OR SYSTEM DOWNTIME
• COST OF SUBSTITUTE SERVICES OR PRODUCTS
• LOSS OF AGRICULTURAL CROPS OR FARMING DECISIONS
• DAMAGES ARISING FROM THIRD-PARTY SERVICES OR INTEGRATIONS

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF Ten percent of the amount paid by you for our services &/ or products in the 12 months preceding the claim

This limitation applies regardless of the legal theory on which the claim is based.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Orbivue, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or relating to:

• Your use of our services or violation of these Terms
• Your User Content or any content you provide
• Your violation of any laws, regulations, or third-party rights
• Any negligent or wrongful conduct by you or your authorized users

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

13. TERMINATION

Either party may terminate these Terms and your access to our services:

• By you: At any time by discontinuing use and closing your account
• By us: Immediately for violation of these Terms or applicable laws
• By us: With 30 days’ notice for any reason
• Automatically: If you fail to pay fees when due (for paid services)

Upon termination:
• Your right to access and use our services will cease immediately
• We may delete your account and associated data after a reasonable period
• Provisions regarding intellectual property, liability, and indemnification will survive
• You remain liable for any outstanding fees or obligations

We may retain certain information as required by law or for legitimate business purposes.

14. DISPUTE RESOLUTION

Any disputes arising from these Terms or our services shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to resolve disputes informally
• Mediation: If informal resolution fails, disputes may be submitted to mediation
• Arbitration: Unresolved disputes shall be settled by binding arbitration in Ahmedabad, Gujarat
• Governing Law: These Terms are governed by the laws of India
• Jurisdiction: Courts in Ahmedabad, Gujarat have exclusive jurisdiction over any legal proceedings

The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 2015, and the rules of the Indian Council of Arbitration.

15. GENERAL PROVISIONS

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orbivue
  • Severability: If any provision is found unenforceable, the remaining provisions will remain in effect
  • Waiver: Our failure to enforce any provision does not constitute a waiver of that provision
  • Assignment: You may not assign these Terms without our consent; we may assign them freely
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
  • Notices: Legal notices will be sent to the email address associated with your account
  • Language: These Terms are written in English; translations are for convenience only
  • Updates: We may update these Terms from time to time with notice as described below

16. CHANGES TO THESE TERMS

We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes by:
